1. DEFINITIONS
In these terms and conditions, the following words have the meanings assigned to them below:
- “Skill On Demand”: Refers to the company operating under the name Skill On Demand.
- “Client”: Any individual, firm, corporation, or other entity that engages with Skill On Demand for recruitment services.
- “Candidate”: Any individual introduced by Skill On Demand to the Client for potential employment.
- “Engagement”: The employment, hire, or use of the Candidate by the Client, whether directly or indirectly.
- “Introduction”: The provision of a Candidate’s details to the Client by Skill On Demand.
2. SERVICES AND OBLIGATIONS
2.1 Reasonable Efforts
Skill On Demand will use reasonable efforts to ensure that any Candidate introduced to the Client is suitable for the position the Client seeks to fill.
2.2 Final Decision
The Client acknowledges that Skill On Demand cannot guarantee the suitability of any Candidate and that the final decision to engage a Candidate lies with the Client.
2.3 Candidate Information
Skill On Demand will inform the Client of any information regarding the Candidate’s identity, experience, training, and qualifications that it has been able to confirm at the time of introduction. Initially, only the Candidate’s first name will be shared. Full details will be provided once the Client expresses interest in the Candidate.
3. FEES AND PAYMENT
3.1 Engagement Fee
The Client agrees to pay Skill On Demand a fee if it engages a Candidate within six months of their introduction.
3.2 Payment Terms
Fees are payable within 14 days of the date of the invoice.
3.3 Compensation for Unresponsiveness
If the Client fails to provide feedback or engage with the Candidate without a valid reason after an agreed search, Skill On Demand reserves the right to charge a fee for the time and resources expended.
3.4 Direct Communication
If the Client engages in direct communication with Candidates or employs them without written consent from Skill On Demand, the Client will be liable for the full recruitment fee.
4. CLIENT RESPONSIBILITIES
4.1 Notification of Offer
The Client must notify Skill On Demand immediately upon deciding to make an offer of employment to a Candidate.
4.2 Work Permits
The Client is responsible for obtaining any necessary work permits or other permissions required for the Candidate to commence employment.
4.3 Direct Engagement
The Client agrees not to contact or engage Candidates directly without prior written consent from Skill On Demand.
5. CONFIDENTIALITY AND NON-SOLICITATION
5.1 Confidential Information
All information regarding Candidates provided by Skill On Demand is confidential and must not be disclosed to any third party without prior consent.
5.2 Non-Solicitation
The Client agrees not to solicit or engage Candidates introduced by Skill On Demand directly for a period of twelve months following the introduction.
6. LIABILITY
6.1 No Liability
Skill On Demand is not liable for any loss, damage, or expense incurred by the Client arising from the engagement of a Candidate.
6.2 Indemnification
The Client agrees to indemnify Skill On Demand against any claims or liabilities arising from the engagement of a Candidate.
7. TERMINATION
7.1 Notice of Termination
Either party may terminate the agreement by giving 30 days’ notice in writing.
7.2 Outstanding Fees
Upon termination, the Client shall pay all outstanding fees due to Skill On Demand.
8. GOVERNING LAW
These terms and conditions are governed by the laws of Delaware, USA, and any disputes will be subject to the exclusive jurisdiction of the courts of Delaware.
9. EXCLUSIVITY
The Client agrees that during the term of this agreement, they will not engage another recruitment agency for the same role without prior written consent from Skill On Demand.
10. REPLACEMENT GUARANTEE
Skill On Demand offers a replacement guarantee if the Candidate leaves the position within a specified period (e.g., 90 days). This guarantee is subject to the Client having paid the recruitment fee in full and having complied with all terms and conditions.
11. DATA PROTECTION
Skill On Demand and the Client agree to comply with all applicable data protection laws and regulations.
12. AMENDMENTS
Any amendments to these terms and conditions must be made in writing and signed by both parties.
